1. Introduction

These Terms & Conditions (“Terms”) govern the use of all services, communication tools, digital platforms, messaging solutions, and related offerings provided by PRASAD AGRO AGENCIES, operating from Shop No.07, Amravati Shetkari Bhawan, Cotton Market Road, Amravati – 444601, hereinafter referred to as “the Company”, “we”, “our”, or “us”.

By accessing or using our services — including but not limited to WhatsApp Business communication, WhatsApp API messaging, RCS messaging, customer support tools, automated messaging solutions, marketing communication systems, and any other digital services — the user (“you”, “your”, or “client”) agrees to be bound by these Terms.

If you do not agree with these Terms, you must discontinue usage immediately.

These Terms are legally valid under the applicable laws of India, including the Information Technology Act, 2000, and related data protection guidelines.

• “User” or “Client” refers to any individual or business accessing or using our services.

• “WhatsApp Business API” refers to Meta’s official messaging platform for business communication.
• “RCS Messaging” refers to Rich Communication Services provided through telecom operators and Google systems.
• “Account” refers to a registered user profile used to access our services.
• “Content” refers to all messages, media, data, or materials transmitted using our services.
• “Subscription Plan” refers to paid or free service models offered by the Company.
• “Third-Party Providers” refers to Meta, Google, telecom operators, payment gateways, or affiliated partners.

3. Acceptance of Terms

By subscribing, purchasing, registering, or using our services, you confirm:

• You have read, understood, and accepted these Terms.
• You are legally capable of entering into this agreement.
• You comply with Meta’s WhatsApp Business Policy, WhatsApp Commerce Policy, Google RCS Terms of Service, and local Indian digital communication laws.

4. Description of Services

PRASAD AGRO AGENCIES provides a range of communication, marketing, agricultural support, and messaging tools including:

• WhatsApp Business API setup & integration
• RCS messaging solutions
• Customer communication tools
• Promotional messaging (where permitted by law)
• Customer support automation
• Agro-related service communication
• Digital notifications, reminders, and service broadcasts

The Company may add, modify, or discontinue any service at any time without prior notice.

5. Eligibility

To use our services, you must:

• Be at least 18 years old.
• Be a registered business or an individual legally eligible to operate in India.
• Provide accurate and verifiable business information.
• Comply with WhatsApp, Google RCS, TRAI, DOT, and Indian IT Act regulations.

The Company reserves the right to refuse service to any user at its sole discretion.

6. Account Registration

Users must register using valid information, including but not limited to:

• Name
• Mobile number
• Email address
• Business documents (if required)

You agree to:

• Maintain confidentiality of your login credentials.
• Provide true, accurate, and updated information.
• Be responsible for all activities under your account.

PRASAD AGRO AGENCIES will not be liable for unauthorized access due to your negligence.

7. User Responsibilities

Users must strictly comply with:

• Indian laws
• Meta Business Messaging Policy
• RCS Messaging Rules
• Anti-spam regulations

You must NOT:

• Send unsolicited, harmful, misleading, or illegal messages.
• Share prohibited items as per WhatsApp Commerce Policy.
• Violate privacy or transmit abusive content.
• Misuse messaging tools for fraud, harassment, or impersonation.

Violation may result in service suspension without refund.

8. Payment & Billing Terms

If you subscribe to any paid services:

• Fees must be paid in advance.
• All payments are non-refundable unless otherwise stated.
• Taxes, transaction charges, and government fees are applicable.
• Failure to make payments may result in suspension of your account.

Payment invoices may be issued electronically to the registered email ID.

9. Subscription Renewal & Termination

Renewal

Subscriptions may renew automatically unless canceled prior to the renewal date.

Termination by User

You may terminate your subscription at any time; however, refunds will not be issued for unused service periods.

Termination by Company

We may terminate services if:

• The user violates Terms.
• There is non-payment.
• Illegal or harmful activities are detected.

Upon termination, access to the platform, APIs, and systems will be revoked.

10. Use of WhatsApp Official API & RCS

Users must comply with:

• Meta WhatsApp Business Policies
• WhatsApp Commerce & Messaging Rules
• Google RCS Business Messaging Policies
• TRAI/DoT communication regulations

The Company is not liable for:

• WhatsApp number blocking by Meta
• RCS restrictions by telecom providers
• Message failures due to user violations

Your usage must remain lawful, respectful, and non-abusive.

11. Message Delivery & Compliance Policy

Message delivery depends on:

• Recipient device
• Network availability
• WhatsApp/RCS server status
• Telecom operator restrictions

PRASAD AGRO AGENCIES does not guarantee 100% delivery.

Users are solely responsible for ensuring:

• Consent from message recipients
• Accurate content
• Compliance with opt-out rules

Violations may lead to immediate account deactivation.

12. Intellectual Property Rights

All materials, tools, dashboards, logos, content, and digital assets of the Company remain our intellectual property.

You must NOT:

• Copy
• Reproduce
• Sell
• Resell
• Modify or reverse-engineer our systems

Any unauthorized use may lead to legal action.

13. Confidentiality

The Company respects your business confidentiality. All sensitive data shared — including contact lists, message templates, and business details — will remain confidential.

You also agree not to disclose:

• Platform structure
• Pricing information
• Technical documentation

Confidentiality obligations remain valid even after termination.

14. Disclaimer of Warranties

Our services are provided “as is” and “as available”.

We do not guarantee:

• Uninterrupted service
• Error-free systems
• 100% message delivery
• Permanent access to WhatsApp or RCS API
• Accuracy of third-party systems

Users assume full responsibility for using our services.

15. Limitation of Liability

To the maximum extent permitted by Indian law, PRASAD AGRO AGENCIES will not be liable for:

• Financial losses
• Business losses
• Data loss
• WhatsApp bans
• RCS failures
• Third-party service disruptions
• Damages resulting from user misuse

Our total liability is limited to the amount paid by the user in the last 3 months of service.

16. Indemnification

You agree to indemnify and hold harmless PRASAD AGRO AGENCIES from:

• Claims
• Damages
• Penalties
• Legal liabilities
• Third-party complaints
• Regulatory actions

arising from your misuse or violation of these Terms.

17. Governing Law (India)

These Terms are governed by the laws of:

• The Information Technology Act, 2000
• Indian Contract Act, 1872
• Applicable TRAI & DoT regulations

Any disputes will fall under the jurisdiction of courts in Amravati, Maharashtra.

18. Changes to Terms

We may update these Terms at any time. Changes become effective upon posting.

Continued usage implies acceptance of updated Terms.
